ii) "Affiliate" in relation to any party hereto shall mean any firm, concern or company or entity, which controls the said party or is controlled by that party, either on its own or together with one or more affiliates. 'Control" means beneficial ownership directly or indirectly of more than fifty percent (50%) in capital deployed in the said firm, concern or company or entity and in the case of companies, which are bodies corporate registered as per laws in force in the respective country, control shall be determined in relation to the voting securities of such entity or its power to control the majority of the composition of the Board of Directors or power to direct the management or policies of such entity by contract or otherwise.

(iii) "Agreement" or "this Agreement" means this joint venture agreement and shall include the Exhibits annexed to this Agreement.

ii) किसी भी पार्टी के संबंध में "संबद्ध" का मतलब किसी भी फर्म, चिंता या कंपनी या इकाई से होगा, जो उक्त पार्टी को नियंत्रित करती है या उस पार्टी द्वारा नियंत्रित होती है, या तो स्वयं या एक या अधिक सहयोगियों के साथ मिलकर। 'नियंत्रण' का अर्थ है उक्त फर्म, चिंता या कंपनी या इकाई में तैनात पूंजी में प्रत्यक्ष या अप्रत्यक्ष रूप से पचास प्रतिशत (50%) से अधिक का लाभकारी स्वामित्व और कंपनियों के मामले में, जो लागू कानूनों के अनुसार पंजीकृत निकाय हैं। संबंधित देश में, नियंत्रण ऐसी इकाई की वोटिंग प्रतिभूतियों या निदेशक मंडल की अधिकांश संरचना को नियंत्रित करने की शक्ति या अनुबंध या अन्यथा ऐसी इकाई के प्रबंधन या नीतियों को निर्देशित करने की शक्ति के संबंध में निर्धारित किया जाएगा।

(iii) "समझौता" या "यह समझौता" का अर्थ यह संयुक्त उद्यम समझौता है और इसमें इस समझौते से जुड़े प्रदर्शन शामिल होंगे।
